Registered office of company

Section 50 sets out the requirements for every company to maintain a registered office in the State and the rules around notifying the Registrar of changes, including the use of registered office agents.

  • Every company must have a registered office in the State at all times, and its location must be specified in the incorporation documents.
  • Any change of registered office address must be notified to the Registrar within 14 days using the prescribed form, and failure to comply is a category 4 offence.
  • A company may use an approved registered office agent instead of maintaining its own address, and if the agent changes address, the agent's notification to the Registrar counts for all companies using that agent.
  • A registered office agent can terminate its arrangement with a company by notifying the Registrar, after which the company has 14 days to resolve the position or lose the use of that address; trust or company service providers must hold a relevant authorisation to act as agents.
