Companies Act 2014 section 322

Disclosure of remuneration for audit, audit-related and non-audit work

Section 322 requires companies to disclose in the notes to their financial statements the fees and other remuneration paid to their auditors, broken down by category of work, with exemptions for smaller companies and certain subsidiaries.

  • Companies must disclose auditor remuneration for the current and preceding financial year, analysed into four categories: audit of financial statements, other assurance services, tax advisory services, and other non-audit services
  • Small, micro, and medium companies are exempt from this disclosure requirement, though medium companies must provide the information to the Supervisory Authority on request
  • Subsidiaries included in group financial statements are also exempt, provided the holding company discloses the equivalent group-level auditor remuneration information in its consolidated accounts
  • Where more than one auditor has been appointed during a single financial year, the remuneration of each must be disclosed separately
