Personation of member: offence

Section 1260 makes it a criminal offence for any person to falsely and deceitfully impersonate a member of a public unlisted company (PULC) in order to obtain money or exercise voting rights belonging to that member.

  • It is an offence to falsely and deceitfully pretend to be a member of a PULC
  • This includes receiving, or attempting to receive, money that is due to the genuine member
  • It also includes voting at any meeting of the company as though the person were the true member
  • A person found guilty of this offence commits a category 2 offence, which carries significant penalties
