Approval and signature of revised directors' report

Section 369 sets out the rules for approving and signing a revised directors' report (or supplementary note), and specifies the information that must be prominently included in the revised document before it is approved.

  • The same approval and signing requirements that apply to an original directors' report under Section 332 also apply to a revised directors' report, except that where the revision is by supplementary note, the signature goes on the note rather than the report.
  • Where the original report has already been circulated to members, laid before a general meeting, or delivered to the Registrar, specific statements must appear prominently in the revised report or supplementary note before the directors approve it.
  • For a replacement revision, the statements must confirm that the revised report replaces the original, was prepared as at the original date, explain how the original was non-compliant, and describe any significant amendments made. For a supplementary note revision, the statements must confirm that the note revises the original report and forms part of it, and was prepared as at the original date.
  • The date on which the directors approve the revised report or supplementary note must be recorded in that document, and the signing and signatory name requirements of Section 332 apply equally to the revised document.
