Proof of incorporation under overseas legislation

Section 880 deals with how a company incorporated outside Ireland can prove its corporate status in legal proceedings under this Part, Parts 1 to 13, or Part 15 of the Companies Act 2014.

  • Applies where a company's incorporation under foreign legislation is challenged or otherwise in question during relevant proceedings
  • A copy of the foreign Act under which the company was incorporated can serve as initial (prima facie) evidence of incorporation
  • The Act must have been passed in a country officially prescribed (recognised) for the purposes of this section
  • The copy must have been published by the official government publishers of that country
