Company may re-register as another company type

Section 1284 establishes the framework that allows a company to re-register as a different type of company, provided it meets certain requirements, and clarifies how this Part sits alongside other existing re-registration provisions.

  • A company may re-register as a different company type, subject to compliance with the requirements set out in Part 20 of the Companies Act 2014.
  • This re-registration framework operates alongside (not instead of) the rules in Chapter 6 of Part 2, which require or enable existing private companies to re-register as designated activity companies limited by shares within a specified transitional period.
  • It also operates alongside sections 1040 and 1041, which deal with situations where a public limited company (PLC) must re-register as another company type because cancelling its own shares would bring the nominal value of its allotted share capital below the authorised minimum.
  • Part 20 therefore provides a general re-registration mechanism that supplements these specific re-registration routes already provided for elsewhere in the Act.
