Application of this Part to class meetings

Section 197 establishes that the rules governing general meetings also apply, so far as they are relevant, to meetings of a particular class of members within a company.

  • All provisions in Part 4 of the Act relating to general meetings extend to class meetings of members, to the extent they are applicable.
  • Any rules in the company's own constitution dealing with general meetings similarly apply to class meetings.
  • Section 198, insofar as it relates to subsection 4(c) of that section (concerning the registration and supply of certain resolutions), applies in full to class meetings.
  • Other provisions of section 198, beyond those relating to subsection 4(c), do not automatically extend to class meetings by virtue of this section.
