Application of Act to companies registered but not formed under former Companies Acts

Section 1334 deals with how the Companies Act 2014 applies to companies that were registered in the State under older legislation but were originally formed by some other means, such as by special Act of Parliament or by Royal Charter.

  • The Companies Act 2014 applies to companies registered in the State under former Companies Acts (including the Joint Stock Companies Acts, the Companies Act 1862, the Companies (Consolidation) Act 1908, and prior Companies Acts) even though those companies were not originally formed under those Acts
  • Such companies are treated in the same way as companies that are registered but not formed under the Companies Act 2014 itself, as set out in Chapter 5
  • Any reference in the Act to the "date of registration" must, for these companies, be read as the date on which the company was registered under the relevant former legislation
  • This provision continues the approach originally established by section 325 of the Companies Act 1963, which brought pre-1964 companies formed by other means within the scope of company law
