Register of members

Section 1201 applies the general register of members requirements (from section 169) to a company limited by guarantee (CLG), with modifications to reflect that CLG members do not hold shares.

  • A CLG must maintain a register of members, but the register need only record members' names and addresses, rather than details of shares held.
  • The requirement in section 169(1)(a) is replaced so that the register simply lists "the names and addresses of the members" without reference to shareholdings.
  • Section 169(5), which relates to share-related information, is disapplied entirely for a CLG.
  • All other provisions of section 169 concerning the maintenance, inspection, and location of the register of members continue to apply to a CLG without change.
