Directors' report: interests in shares and debentures

Section 329 requires that where directors or the company secretary hold interests in shares or debentures of the company or any group undertaking, these must be disclosed in the directors' report.

  • The directors' report must state whether each director held any interest in shares or debentures of the company or any group undertaking at the financial year end, and if so, the number and amount of those holdings
  • The report must also disclose comparable information at the start of the financial year, or if the person was not yet a director at that point, at the date they first became a director
  • The same disclosure requirements apply to the company secretary at the end of the financial year
  • Interests covered include all those required to be recorded in the register of interests under section 267, including interests of shadow directors and de facto directors
