Provisions of this Chapter to be cumulative

Section 1333 establishes that the winding-up rules for unregistered companies in this Chapter operate in addition to, and do not replace, the general court winding-up provisions in Part 11.

  • The winding-up provisions for unregistered companies are cumulative β€” they add to, rather than restrict, the existing Part 11 court winding-up rules.
  • The court retains all powers it would normally exercise when winding up a company formed and registered under the Companies Act 2014.
  • A liquidator of an unregistered company may exercise the same powers and carry out the same acts as a liquidator of a registered company.
  • This ensures there is no gap in authority or procedure when dealing with the winding up of an unregistered company through the court.
