Contents of Registrar's notice to company

Section 728 sets out the mandatory contents of the formal notice that the Registrar must send to a company when initiating the process of striking it off the register.

  • The notice must warn the company that this is the first step in a process that could lead to it being struck off and dissolved, and must state the specific grounds being relied upon.
  • The notice must specify the remedial action the company needs to take and set a deadline of at least 28 days from the date of the notice for that action to be completed.
  • The notice must warn that failure to take the required remedial action by the deadline may result in the Registrar publicly announcing an intention to strike the company off.
  • For most grounds of strike off, the notice must also warn that each director at the date the notice is sent faces potential disqualification if the company is ultimately struck off.
