Companies Act 2014 section 1146

Registration and publication of confirmation of merger

Section 1146 deals with the steps that must be taken to register and publicise a court order confirming a merger, including filing with the Registrar and publication in the CRO Gazette.

  • When a court confirms a merger, a certified copy of the order must be sent immediately to the Registrar by a court-designated official.
  • On or as soon as practicable after the effective date, the Registrar must register the certified copy of the order and the dissolution of the transferor company or companies.
  • Within 14 days of receiving the order, the Registrar must publish a notice in the CRO Gazette confirming that the court order has been delivered.
  • These requirements ensure that mergers are properly recorded on the public register and that third parties are made aware of the merger and the resulting dissolution of the transferor company.
