Companies Act 2014 section 1229

References to unlimited company to mean ULC, PUC or PULC

Section 1229 clarifies that any reference to an "unlimited company" in Part 19 of the Act should be understood as covering all three types of unlimited company, unless the context expressly states otherwise.

  • References to "unlimited company" in Part 19 encompass all three types: ULC, PUC and PULC
  • This is a default interpretation rule β€” it applies unless expressly provided otherwise
  • The three types of unlimited company are defined in section 1228
  • There is no need to specify which type is meant when the general term "unlimited company" is used
