Companies Act 2014 section 1121

Provisions as to register of debenture holders

Section 1121 requires public limited companies to maintain a register of debenture holders and sets out the rules governing inspection of that register, temporary closure, and the right of debenture holders to obtain copies of trust deeds.

  • A PLC must keep a debenture holders' register recording names, addresses and amounts of debentures held, though standalone debentures and those transferable by delivery are excluded
  • The same rules that govern inspection of other company registers (such as the members' register) apply to the debenture holders' register, including rights of access during business hours
  • The register may be temporarily closed for up to 30 days in any year, provided the closure is in accordance with the company's articles, the debenture instruments or the trust deed
  • Debenture holders are entitled to a copy of any trust deed securing their debentures on request and payment of a fee of up to €10.00, and failure to provide it is a category 3 offence
