Power of court to convene meeting

Section 179 gives the court the power to order that a general meeting of a company be called and conducted where normal procedures are impracticable or otherwise undesirable.

• The court may order a general meeting to be called, held and conducted in any manner it sees fit, but only where it is satisfied that normal procedures are impracticable or undesirable
• Applications may be made by a director, a voting member, the personal representative of a deceased voting member, or the assignee in bankruptcy of a bankrupt voting member
• The court may give ancillary directions, including allowing a single person present in person or by proxy to constitute a quorum
• Any meeting held under such a court order is treated as a validly called and conducted meeting for all purposes
