Register of charges

Section 414 requires the Registrar of Companies to maintain a public register of charges for each company, recording key details such as creation dates, property descriptions, and the persons entitled to each charge.

  • The Registrar must keep a register for every company listing all charges that require registration, recording details such as the date of creation, the date and time particulars were received by the Registrar, and (for charges on acquired property) the date of acquisition.
  • For judgment mortgages, the register must record the date of creation and the date and time the Registrar received the prescribed particulars along with the relevant judgment mortgage document.
  • For floating charges granted to the Central Bank as collateral, the register must include details of any provision restricting the company from issuing equally ranking securities or altering the ranking of the charge relative to previously issued securities.
  • The register must also include a short description of the property charged and the persons entitled to the charge, and it must be open to public inspection on payment of a prescribed fee, if any.
