Companies Act 2014 section 1110A

Interpretation, application and commencement

Section 1110A defines key terms used in the Chapter dealing with shareholders' rights in traded PLCs, and sets out how the Chapter interacts with EU law.

  • Defines "intermediary" as any person providing share safekeeping, administration or securities account maintenance services for a traded PLC, including investment firms, credit institutions and central securities depositories
  • Defines "General Data Protection Regulation" and "personal data" by reference to EU Regulation 2016/679, and defines "traded PLC" by reference to section 1099(4) of the Act
  • Requires that terms used in this Chapter which also appear in the Shareholders' Rights Directive carry the same meaning as in that Directive, unless the context requires otherwise
  • Requires the Chapter to be read alongside any relevant EU implementing measures, including Commission Implementing Regulation (EU) 2018/1212, and states that the section came into operation on 3 September 2020
