Directors to have regard to interests of employees

Section 224 requires directors, when carrying out their duties, to consider the interests of the company's employees alongside the interests of its members.

  • Directors must have regard to the general interests of the company's employees when performing their functions
  • This obligation applies in addition to, not instead of, the existing duty to consider members' interests
  • The duty is owed solely to the company itself, not directly to individual employees
  • The duty is enforceable in the same way as any other fiduciary duty owed by directors to the company
