Supplementary and clarificatory provisions for section 898

Section 899 provides relief from penalties and late fees during the period allowed for correcting a non-compliant document under section 898, while clarifying that this process cannot validate matters that are void under other legal provisions.

  • Where a document is rejected by the Registrar under section 898 and a corrected replacement is submitted within the 14-day notice period, the time between delivery of the original document and the end of that 14-day period is disregarded for penalty and late fee purposes.
  • This means continuing penalties for late delivery do not accumulate during the correction period, provided the replacement document is delivered in time.
  • Similarly, higher registration fees that apply to documents delivered late are calculated without counting the correction period, again provided a compliant replacement is submitted within the 14 days.
  • Neither section 899 nor section 898 can make valid any matter that another provision of the Companies Act or any other legislation declares void or of no effect due to a document not being delivered within the required timeframe.
