Representation of applicable securities

Section 101F confirms that nothing in this Chapter of the Act prevents a company from arranging for its applicable securities to be held in electronic book-entry form through a central securities depository.

  • Companies may arrange for applicable securities to be represented in book-entry form rather than as physical certificates
  • This can be achieved through immobilisation (depositing physical certificates with a central depository) or dematerialisation (converting to a fully electronic format)
  • A central securities depository or its nominee may hold the securities on behalf of the company
  • No provision in this Chapter of the Act restricts or affects a company's ability to use these electronic arrangements
