Notice of meetings

Section 1096 deals with how a public limited company (PLC) that is a participating issuer determines which persons are entitled to receive notice of meetings, based on a record date taken from its register of securities.

  • A participating issuer may set a specific record date to identify who is entitled to receive notice of a meeting, based on entries in the register of securities at close of business on that date.
  • This applies regardless of how the notice is served β€” whether under Section 218, another enactment, the company's articles, or any other instrument.
  • The chosen record date must be no more than seven days before the day on which the meeting notices are actually sent out.
  • The term "register of securities" carries the same meaning as defined in Section 1095(3), which deals with attendance and voting at meetings.
