Companies Act 2014 section 1432

Saving for enactments providing for winding up under certain former Companies Acts

Section 1432 preserves the continued operation of older laws that provided for the winding up of associations, partnerships or companies under former Companies Acts.

  • Part 11 and all other Parts of the Companies Act 2014 do not override or interfere with older enactments dealing with winding up
  • This protection extends to any association, partnership or company subject to those earlier winding-up provisions
  • Specifically preserved are winding-up procedures under the Companies (Consolidation) Act 1908 and any enactments that Act itself repealed
  • The section originates from section 350 of the Companies Act 1963 and serves as a saving provision to ensure continuity of earlier legal frameworks
