Certificate of registration of existing company

Section 1343 deals with the certificate of incorporation issued by the Registrar when an existing company completes the registration requirements under this chapter.

  • Once all registration requirements are met, the Registrar issues a written certificate confirming the company is incorporated as the type specified in the application.
  • The certificate states a specific date of incorporation, known as the "registration date", on which the company is officially incorporated.
  • The certificate of incorporation serves as conclusive and irrefutable evidence that all registration requirements, including all precedent and incidental matters, have been satisfied.
  • The certificate also confirms that the company is duly registered under the Companies Act 2014.
