Registration and publication of documents

Section 470 sets out the requirements for registering and publishing documents when companies are undertaking a merger, including what must be filed with the Registrar and how notice must be given to the public.

  • Each merging company must deliver a copy of the board-approved common draft terms of merger and a prescribed notice containing key company details to the Registrar
  • Notice of delivery must be published in the CRO Gazette and in one national daily newspaper, at least 30 days before the resolution to approve the merger is passed
  • These filing and publication requirements do not apply where the Summary Approval Procedure is used, or where the company instead publishes the draft terms free of charge on its website for a continuous period of at least two months
  • If a company's website is disrupted for 24 continuous hours or a total of 72 hours during the publication period, the required period is extended by the length of the disruption
