PLC to carry on activity in the State

Section 1005 requires that a public limited company (PLC) must intend to carry on an activity within the State before it can be formed and registered.

  • A PLC cannot be formed and registered unless it will carry on an activity in the State.
  • The intended activity must be one that is mentioned in the company's memorandum.
  • The Registrar must be satisfied that the company will carry on such an activity once registered.
  • This requirement mirrors the equivalent rule for private limited companies (LTDs) under section 18, adapted for PLCs.
