Interpretation generally (Chapter 5)

Section 256 provides key definitions and interpretive rules used throughout Chapter 5, which deals with the disclosure of interests in shares and debentures by directors and other officers.

  • A "body corporate of the same group" means any corporate entity belonging to the same group of companies as the company in question.
  • A "child" means a person who has not yet reached the age of majority, and includes a child of the director's or secretary's civil partner where that child ordinarily lives with them.
  • The term "aggregate interest" β€” covering a director's or secretary's interest together with that of their spouse, civil partner, and children in shares or debentures β€” does not narrow the scope of any provision in which it appears.
  • A director or secretary can still benefit from a provision even if only they alone, or only some (but not all) members of their family group, hold the relevant interest in shares or debentures.
