Notice to Registrar of certain alterations of share capital

Section 92 requires a company to notify the Registrar within 30 days of making certain alterations to its share capital, and creates an offence for failure to do so.

  • A company must notify the Registrar within 30 days of consolidating, subdividing, converting, redeeming or cancelling shares, or reconverting stock into shares.
  • The notice must specify the details of the alteration, including which shares or stock were affected and what action was taken.
  • Share cancellations connected with a formal reduction of company capital under section 84 are excluded from this notification requirement.
  • Failure to comply is a category 3 offence, applying to both the company and any officer in default.
